Sales Tax — Stay Tax-Free

$0 to MI
Current status: Not registered with MI Treasury — intentional. Every jar sold so far is exempt under the bakery rule, and Use Tax exposure is near zero from mainstream vendors.

Register the moment you do any of these: a pop-up where customers eat on-site, sell coffee/tea/drinks, include utensils with delivery, do catering, bundle a jar with a prepared-food item, OR Stripe asks for a sales tax number during Live activation. Then it's ~10 min on Michigan Treasury Online — Form 518 / Sales & Use Tax registration.
Tax-free when ALL true
  • Sold packaged in original sealed container (a jar counts)
  • No utensils provided — no spoons, forks, plates with the order
  • Room temp or chilled — never heated by you
  • Customer takes off-premises (pickup, delivery, carryout)
Becomes taxable (6%) when
  • You provide spoons / forks / plates with delivery or pop-up
  • Pop-up with on-site eating
  • Drinks (coffee, lattes, tea) — always taxable, no bakery exemption
  • Heated dessert sold warm
  • Bundled with other prepared food (combos)
75% rule: if more than 75% of revenue is "prepared food" (taxable), ALL food sales — even the exempt jars — flip to taxable. Stay below this line.

  • Ingredients in descending order by weight
  • Allergen call-outs (the 9 majors): milk, eggs, soy, wheat, peanuts, tree nuts, fish, shellfish, sesame — list the ones present
  • Net weight in oz and grams
  • "Keep Refrigerated" for any cream-containing product
  • Date made / best by — production date

Why it matters: a clean separation is what stops creditors from "piercing the veil" and going after personal assets in a lawsuit. One bad commingled transaction can undo the whole shield.
